Notice of Conclusion of Share Purchase Agreement to Transfer the Share of JAPAN BLUE Co., Ltd
We hereby announce that K&C I Limited Partnership ("K&C I"), and DAIDOH LIMITED
(Chiyoda-ward, Tokyo Prefecture, Representative Director, President & Group COO Koichiro
Naruse (“DAIDOH”)) and Genova Co., Ltd (Chiyoda-ward, Tokyo Prefecture, Representative
Director Kawabe Kazuyuki) have reached a definitive agreement regarding the share transfer
of JAPAN BLUE Co., Ltd (Okayama City, Okayama Prefecture, Chairman and CEO Naobumi
Karita (“Japan Blue”)). The share transfer is scheduled to be completed on August 29, 2025, subject to the satisfaction of the condition precedent in the agreement.
Japan Blue is a company who is engaged in planning, manufacturing, and selling premium
denim products at Kojima, Okayama, world-renowned town for denim products, and succeeds in and manages continuous development of the history and tradition of denim products at Kojima.
Since investment into Japan Blue in 2022, K&C I have been supporting Japan Blue’s business activity including rebranding its denim, strengthening its production system to meet significant increase in demand after rebranding, enhance the managerial organization structure, or
strengthen the management functions, seeking increase of the enterprise value in mid-long
term.
DAIDOH, a company specialized in textiles with more than 140 years of history, engaged in
developing, manufacturing, and selling high value-added products focusing on woolen fabric
over the years, and the company has domestic and international sales network at apparel
market.
We believe Japan Blue will create synergy to DAIDOH among DAIDOH’s expertise in fabric or global distribution network, and we also believe that it will lead Japan Blue’s further
developments in future.
